End User License Agreement (EULA) for Viewnet

Effective Date: 1 August 2024

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE VIEWNET APPLICATION. BY CLICKING "ACCEPT" OR BY USING THE VIEWNET APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE VIEWNET APPLICATION.

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Viewnet Computer System Sdn Bhd ("Company", "we", or "us") for the use of the Viewnet application, including any updates, enhancements, and new features, subject to the terms and conditions of this Agreement.

1. License Grant

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Viewnet application on your personal device solely for your personal, non-commercial use.

2. Restrictions

  • - Modify, reverse engineer, decompile, or disassemble the Viewnet application.
  • - Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer the Viewnet application or any portion thereof.
  • - Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Viewnet application.
  • - Use the Viewnet application for any illegal or unauthorized purpose, or in a manner that violates any applicable laws or regulations.

3. Ownership

The Viewnet application is licensed, not sold. Company retains all right, title, and interest in and to the Viewnet application, including all intellectual property rights. This Agreement does not grant you any rights to use Company’s trademarks, logos, or other proprietary marks.

4. Updates

Company may, at its sole discretion, provide updates, upgrades, or enhancements to the Viewnet application. Any such updates, upgrades, or enhancements shall be deemed to be part of the Viewnet application and shall be subject to the terms and conditions of this Agreement.

5. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Company if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the Viewnet application and uninstall all copies.

6. Disclaimer of Warranties

THE VIEWNET APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE VIEWNET APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE VIEWNET APPLICATION; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE VIEWNET APPLICATION; AND (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE VIEWNET APPLICATION BY ANY THIRD PARTY.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in Malaysia, and you hereby consent to the personal jurisdiction and venue therein.

9. General

  • - Entire Agreement: This Agreement constitutes the entire agreement between you and Company regarding the use of the Viewnet application and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.
  • - Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • - Waiver: The failure of Company to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
  • - Assignment: You may not assign or transfer your rights under this Agreement without the prior written consent of Company. Company may assign or transfer its rights under this Agreement without restriction.
